These Terms & Conditions ("Terms") govern your use of the Gabe's GMB Verify website, client portal, agreements, billing services, and Google Business Profile-related services.

1. Agreement to Terms
These Terms form a binding agreement between you ("you" or "Client") and Gabe's GMB Verify ("we," "us," or "our").
By accessing our website, submitting a form, booking a consultation, signing an agreement, or using our services, you agree to these Terms.
If you are entering into these Terms on behalf of a business or organization, you represent that you have authority to do so.
If you enter into a separate written service agreement with us, that agreement will control if it conflicts with these Terms.
2. Services
Gabe's GMB Verify provides Google Business Profile setup, verification assistance, optimization, ongoing management, local SEO consulting, and related services.
We are an independent service provider.
We are not Google and are not affiliated with, endorsed by, or sponsored by Google LLC.
Google, Google Maps, and Google Business Profile are trademarks of Google LLC.
Our services depend in part on third-party platforms and information that may change over time.
3. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering into an agreement.
You are responsible for:
- Providing accurate information.
- Keeping account credentials secure.
- Maintaining the security of your account.
- All activity occurring through your account.
- Notifying us of unauthorized access.
We may suspend or terminate access where we reasonably believe an account is being used for fraudulent, unlawful, or abusive activity.
4. Client Responsibilities
You agree to:
- Provide truthful and accurate business information.
- Provide accurate business name, address, phone number, website, and service-area information.
- Provide documents and information reasonably required to perform the services.
- Provide timely approvals and access required for the services.
- Own or have permission to use any content, images, logos, or trademarks you provide.
- Follow applicable laws and Google policies.
- Avoid requesting services that involve fraudulent or misleading activity.
You understand that delays caused by missing information, lack of cooperation, verification requirements, or third-party review processes may delay services.
5. Prohibited Conduct
You may not use our services to:
- Create fake business locations.
- Fabricate business identities.
- Submit false or misleading information.
- Generate fake reviews.
- Misrepresent business ownership or eligibility.
- Circumvent Google's policies or verification processes.
- Violate applicable law.
- Infringe third-party rights.
- Interfere with our website or client portal.
- Reverse engineer or attempt to gain unauthorized access to our systems.
- Resell our services without written authorization.
We may terminate services if you request or instruct us to engage in prohibited conduct.
6. No Guarantee of Results
Google independently determines whether a Business Profile is verified, reinstated, displayed, suspended, restricted, or ranked.
We do not guarantee:
- Google verification approval.
- Profile reinstatement.
- Specific search rankings.
- Google Maps placement.
- Traffic.
- Leads.
- Calls.
- Revenue.
- Any specific business outcome.
Any examples, timelines, projections, or case studies are informational and are not guarantees.
We will provide the services described in your agreement using commercially reasonable efforts.
7. Fees, Payment, and Billing
Prices for our services are stated in the applicable agreement, order form, proposal, or checkout page.
Where applicable:
- We may verify your payment method using a nominal authorization or verification charge.
- You authorize the applicable payment processor to process payments according to your agreement.
- Recurring services may automatically renew according to the billing schedule stated in your agreement.
- You are responsible for applicable taxes unless otherwise stated.
- You are responsible for providing accurate billing information.
Specific billing terms contained in a signed service agreement will control where applicable.
8. Late or Failed Payments
If a payment fails or becomes overdue, we may:
- Attempt to process the payment again.
- Pause services.
- Suspend access to the client portal.
- Delay work.
- Terminate the applicable service agreement.
Any late fees or collection costs will only be charged to the extent permitted by applicable law and the applicable agreement.
9. Cancellations and Refunds
Cancellation and refund terms may be specified in your service agreement or order form.
Unless otherwise stated:
- Recurring services may be cancelled before the next billing period.
- Fees for services already performed may be non-refundable.
- One-time service fees may be non-refundable once work has begun.
- Refund requests should be submitted directly to us before initiating a payment dispute or chargeback.
We reserve the right to dispute inaccurate or unauthorized chargebacks and to recover amounts permitted by law.
10. Third-Party Services
Our services may rely on third-party services, including Google, payment processors, scheduling platforms, email providers, SMS providers, hosting providers, and other technology providers.
We do not control third-party:
- Availability.
- Policies.
- Pricing.
- Security practices.
- Decisions.
- Service interruptions.
- Platform changes.
We are not responsible for third-party actions or decisions outside our reasonable control.
11. Intellectual Property
- We retain rights to our website, software, portal, templates, processes, systems, reports, and methodologies.
- You retain rights to content, trademarks, logos, images, and materials you provide to us.
- You grant us a limited, non-exclusive license to use materials you provide solely as necessary to perform the services.
- Upon full payment, you receive the rights to the client-specific profile content we create for your Business Profile, subject to any third-party rights.
12. Confidentiality
Each party agrees to use reasonable care to protect the other's non-public business information.
Confidential information will generally be used only for purposes related to the services, except where disclosure is required by law or otherwise permitted by these Terms.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the website, portal, and services are provided "AS IS" and "AS AVAILABLE."
We do not guarantee that:
- The website will always be available.
- The portal will be uninterrupted.
- The services will be error-free.
- Third-party platforms will remain available.
- The services will produce a particular commercial result.
To the extent permitted by law, we disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the maximum extent permitted by law, Gabe's GMB Verify will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost leads, business interruption, or losses resulting from third-party platform decisions.
To the maximum extent permitted by law, our total aggregate liability arising from or related to the services will not exceed the amount you paid to us during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited.
15. Indemnification
You agree to indemnify and hold harmless Gabe's GMB Verify, its owners, employees, contractors, and service providers from claims, damages, losses, liabilities, penalties, and reasonable legal expenses arising from:
- Information you provide.
- Content you provide.
- Your instructions.
- Your violation of these Terms.
- Your violation of applicable law.
- Your violation of third-party rights.
- Your violation of applicable Google policies.
16. Electronic Communications and SMS
You consent to receive electronic communications necessary to provide services, including agreements, notices, invoices, receipts, account communications, and service updates.
SMS Communications
If you separately opt in to receive text messages from Gabe's GMB Verify, you agree to receive recurring SMS messages concerning your inquiry, Google Business Profile services, consultation scheduling, appointment reminders, service updates, and customer support.
If you separately consent to promotional messages, you may also receive occasional marketing or promotional text messages.
Message frequency may vary. Message and data rates may apply.
You can opt out at any time by replying STOP.

Consent to receive SMS messages is not a condition of purchasing any goods or services.
We do not sell or share your mobile phone number or SMS opt-in information with third parties for their own marketing purposes.
17. Term and Termination
These Terms apply while you use our website or services.
We may suspend or terminate services for reasons including:
- Non-payment.
- Fraudulent activity.
- Violation of these Terms.
- Unlawful activity.
- Requests to violate Google policies.
- Material breach of an applicable service agreement.
Upon termination, accrued payment obligations remain due.
Provisions concerning payment, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.
Before filing a formal legal claim, the parties agree to make a reasonable effort to resolve disputes informally.
If a dispute cannot be resolved informally, it may be submitted to binding arbitration where permitted by applicable law and any applicable service agreement.
Nothing in these Terms prevents either party from bringing a qualifying claim in small claims court where permitted.
19. General
- These Terms, together with any applicable service agreement, order form, and Privacy Policy, constitute the agreement governing your use of our services.
- If any provision is found unenforceable, the remaining provisions remain in effect.
- Failure to enforce a provision does not constitute a waiver.
- We are an independent service provider, and nothing in these Terms creates a partnership, employment relationship, or joint venture.
20. Changes to These Terms
We may update these Terms from time to time.
The "Last updated" date indicates when the Terms were most recently revised.
Continued use of the website or services after revised Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by law.
